Chat Video Pro – Terms of Service

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“Licensee” or “User”) and Momentohm Media LLC (“Licensor”), governing your access to and use of the Chat Video Pro software extension (“the Software”).

By purchasing, installing, accessing, or using the Software, you irrevocably agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, OR IF YOU ARE A COMPETITOR OF THE LICENSOR, YOU MUST NOT INSTALL OR USE THE SOFTWARE.

1. Description of Service

Chat Video Pro is a proprietary workflow extension for Adobe Premiere Pro designed to interface with third-party artificial intelligence services. Features include, but are not limited to:

  • Text, image, and video generation integration
  • Color grading and scriptwriting assistance
  • Soundbite detection and voice-driven controls
  • Image editing, upscaling, and background removal workflows

Chat Video Pro functions as an interface tool. All generative content is produced by third-party APIs (e.g., Fal.ai, OpenAI, Kling, VEO) which you must connect independently. We do not host or generate the AI models ourselves.

2. License Grant & Strict Restrictions

Subject to your compliance with these Terms, Momentohm Media LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices owned or controlled by you.

Prohibited Uses: You strictly represent and warrant that you will not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
  • Bypass, circumvent, or attempt to disable any technical protection measures, including code obfuscation, minification, or binary encoding (JSXBIN).
  • Access the Software for the purpose of building a similar or competitive product or service.
  • Use the Software for "benchmarking," competitive analysis, or to map the proprietary workflow logic.
  • Share, resell, rent, lease, or sublicense your license key to any third party.
  • Use the Software, its User Interface (UI), or its outputs to train artificial intelligence or machine learning models.

Any violation of this section constitutes a material breach of this Agreement and may result in immediate termination of your license and legal action for copyright infringement and theft of trade secrets.

3. Intellectual Property Rights

The Software is licensed, not sold. Momentohm Media LLC retains all right, title, and interest in and to the Software, including all related intellectual property rights such as:

  • Source code, scripts, and obfuscated binaries
  • Visual design, UI layout, and user experience flows
  • Proprietary workflow sequences and API integration logic
  • Documentation and branding

Ownership of Output: You retain ownership of the video projects and creative content you produce using the Software, subject to the terms of the third-party AI providers you utilize.

4. API Keys & Third-Party Services (BYOK)

The Software operates on a "Bring Your Own Key" (BYOK) model. You acknowledge that:

  • You are solely responsible for obtaining and paying for API keys from third-party providers.
  • Momentohm Media LLC has no control over the pricing, uptime, accuracy, or availability of third-party AI services.
  • We do not store or transmit your API keys to our servers; they remain local to your machine or are sent directly to the provider.

5. Data Privacy & Security

We prioritize your privacy. The Software:

  • Does not upload your video files to Momentohm Media servers.
  • Does not track your editing decisions or project content.
  • Does not collect personal data beyond what is required for license validation.

For support inquiries, you may voluntarily share logs or screenshots. By doing so, you grant us permission to use those materials solely to resolve your issue.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR INTEROPERABLE WITH ANY SPECIFIC VERSION OF ADOBE PREMIERE PRO.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENTOHM MEDIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE.

8. Refund Policy

We offer a 7-day money-back guarantee for the base Software license only.

  • Refund requests must be made within 7 days of the original purchase date.
  • Non-Refundable Items: Digital assets, including the Workflow Bundle, Creator Bundle, presets, and templates, are final sale and non-refundable due to their nature.
  • Abuse of the refund policy (e.g., repeated purchasing and refunding) will result in a permanent ban.

9. Termination

Momentohm Media LLC reserves the right to terminate your license immediately and without notice if:

  • You breach any provision of these Terms.
  • We detect suspicious activity indicating piracy, license sharing, or reverse engineering attempts.
  • You are identified as a competitor accessing the Software for prohibited purposes.

Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Comal County, Texas, and the parties irrevocably consent to the personal jurisdiction and venue therein.

Injunctive Relief: You agree that a breach of the License Restrictions (Section 2) or Intellectual Property (Section 3) clauses would cause irreparable injury to Momentohm Media LLC for which monetary damages would not be an adequate remedy, and strictly agree that Momentohm Media LLC shall be entitled to seek equitable relief, including injunctive relief and specific performance, in addition to any other remedies available.
